Terms of Service.

The terms and conditions that govern your use of Vision Detection Systems products, platform, and monitoring services. Last updated May 2026.

Acceptance of Terms

  • By accessing or using any Vision Detection Systems ("VDS") product, service, or website, you agree to be bound by these Terms of Service.
  • If you are entering into these terms on behalf of a company or organization, you represent that you have authority to bind that entity.
  • VDS reserves the right to update these terms at any time. Continued use after changes constitutes acceptance of the revised terms.

Service Description

  • VDS provides mobile surveillance hardware, AI-powered video analytics, cloud video management (AI VisionStream), and 24/7 Security Operations Center (SOC) monitoring.
  • Services are delivered pursuant to individual customer agreements that may contain additional terms specific to the engagement.
  • VDS may modify, suspend, or discontinue any aspect of its services with reasonable notice to affected customers.

User Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to use VDS products and services only for lawful purposes and in compliance with all applicable federal, state, and local laws.
  • You will not attempt to gain unauthorized access to any VDS system, network, or data.
  • You are responsible for ensuring that your use of surveillance equipment complies with applicable privacy laws in your jurisdiction.

Equipment & Hardware Terms

  • VDS hardware may be obtained through rental or purchase agreements as specified in your customer contract.
  • Rental equipment remains the property of VDS. You are responsible for reasonable care and maintenance during the rental period.
  • Purchased equipment is covered by VDS manufacturer warranty as specified at the time of sale.
  • You agree not to modify, disassemble, or reverse-engineer any VDS hardware or embedded software without written authorization.
  • VDS provides scheduled maintenance and support for rental equipment. Damage due to negligence or misuse may result in repair charges.

Monitoring Service Terms

  • SOC monitoring services are provided 24/7/365 by US-based operators as specified in your service agreement.
  • Response times and escalation procedures are defined in your individual service level agreement (SLA).
  • VDS monitoring is a deterrence and notification service. VDS is not a law enforcement agency and does not provide armed response.
  • While VDS strives for maximum uptime, monitoring services may be temporarily unavailable due to maintenance, connectivity issues, or events beyond our control.
  • VDS is not liable for losses resulting from delayed or missed alerts due to equipment malfunction, connectivity outages, or force majeure events.

Intellectual Property

  • All VDS software, AI models, platform interfaces, documentation, and branding are the exclusive intellectual property of Vision Detection Systems.
  • Your service agreement grants a limited, non-exclusive, non-transferable license to use VDS software and platform during the term of your contract.
  • You retain ownership of all video footage and data captured by equipment deployed at your sites.

Limitation of Liability

  • To the maximum extent permitted by law, VDS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or services.
  • VDS total liability for any claim arising under these terms shall not exceed the amount paid by you to VDS in the twelve months preceding the claim.
  • VDS does not guarantee that its products or services will prevent all security incidents, theft, or property damage.

Indemnification

  • You agree to indemnify and hold harmless VDS, its officers, employees, and agents from any claims, damages, or expenses arising from your use of VDS products or services.
  • This includes claims arising from your violation of these terms, applicable laws, or third-party rights.

Termination

  • Either party may terminate services according to the terms specified in the applicable customer agreement.
  • VDS may suspend or terminate access to services immediately if you breach these terms or pose a security risk.
  • Upon termination, your access to the VDS platform will be revoked and rental equipment must be returned within the timeframe specified in your agreement.
  • Customer video data will be retained for the period specified in your agreement, after which it will be permanently deleted.

Governing Law

  • These terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles.
  • Any disputes arising under these terms shall be resolved in the state or federal courts located in Maryland.
  • If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
